Between: Builders Bazar ("Platform") AND The Undersigned Vendor ("Vendor")
1. PURPOSE & SCOPE
Builders Bazar provides a digital platform connecting construction material vendors with active buyers ("Live Leads"). This Agreement governs the relationship, services, and commercial terms between Builders Bazar and the Vendor.
2. COMMERCIAL TERMS
2.1 Success-Based Commission Model
Builders Bazar operates on a strict "Win-Win" philosophy: "Jab Vendor ka profit hoga tabhi hamara profit hoga" (We only profit when you profit).
- Commission Rate: 1.5% of the Final Invoice Value (excluding GST).
- GST on Commission: Applicable GST (18%) will be charged on the commission amount.
- Total Payable: Commission (1.5%) + GST (18% of Commission).
- Payment Trigger: The commission is payable strictly only after a successful sale, meaning the Vendor has received the order and payment from the buyer. There are no upfront charges for viewing leads.
2.2 Vendor Onboarding & Verification Fee
To maintain a high-quality ecosystem and ensure only serious, professional sellers are listed on our panel, a nominal fee applies:
- Amount: INR 511 (Non-Refundable).
- Purpose:
- Serious Seller Screening: To prevent "Faltu Vendors" (non-serious entities) from cluttering the platform.
- Premium Notification Services: Covers the cost of real-time alerts for New Leads, Changes in RFQs (Request for Quotes), and critical order updates.
- Verification: Administrative costs for vendor credential verification.
2.3 Future Fee Adjustments (Prior Notice Policy)
Builders Bazar reserves the right to review and adjust these charges in the future. However, no increase in charges will be implemented without prior notification to the Vendor. You will always be informed in advance of any changes to the fee structure.
3. SERVICE DELIVERABLES
In exchange for the Onboarding Fee and agreed Commission, Builders Bazar provides:
- Access to valid, verified "Live Leads" from builders and contractors.
- Real-time notifications (SMS/Email/WhatsApp) for new relevant leads.
- Alerts regarding any changes or updates to buyer RFQs.
- A dedicated dashboard for quote submission and order management.
4. PAYMENT TERMS
- Invoicing: Builders Bazar will raise an invoice for the Commission Amount + GST upon successful closure of a deal.
- Due Date: Payments are due within 7 days of the Vendor receiving payment from the Buyer, unless otherwise agreed in writing.
- Taxes: Vendor is responsible for their own tax liabilities arising from sales.
5. GENERAL TERMS
5.1 Independent Contractor
The relationship between Builders Bazar and the Vendor is that of independent contractors. This Agreement does not create a partnership, joint venture, or employment relationship.
5.2 Confidentiality
Both parties agree to keep all trade secrets, buyer data, and proprietary platform information confidential and not disclose it to third parties without consent.
5.3 Non-Circumvention & Code of Conduct
"Short term gain vs. Long term loss"
The Vendor agrees not to bypass Builders Bazar to deal directly with leads provided by the Platform for the purpose of avoiding the agreed commission.
- The Cost of Bypassing: If you bypass us, you might gain one direct contractor today. However, by remaining loyal to Builders Bazar, you gain access to thousands of future contractors and continuous business opportunities.
- Zero Tolerance Policy: We have strict monitoring systems in place. If a Vendor is found bypassing the platform—even on a Single Order—it will be detected immediately.
- Permanent Ban: Upon detection of bypassing, the Vendor's GSTIN will be permanently blacklisted. You will NEVER be able to register on the Builders Bazar panel again by any means. We value long-term partnerships over short-term cuts.
5.4 Termination
- By Vendor: May terminate at any time by ceasing to use the platform (Onboarding fee is non-refundable).
- By Platform: Builders Bazar reserves the right to suspend or terminate vendors who violate terms, provide poor service to buyers, or engage in unethical practices.
5.5 Governing Law & Jurisdiction
This Agreement shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
ACCEPTANCE
By paying the Onboarding Fee and using the Builders Bazar platform, the Vendor acknowledges that they have read, understood, and agreed to these terms.
